Legal Counsel – Corporate & M&A

About the role

EXEO Global Pte Ltd, the global headquarters of the EXEO Group, is seeking a Legal Counsel to support its expanding portfolio of IT, engineering, and supply‑chain businesses. Reporting to the Vice President, Legal & Corporate Secretariat, the role will ensure robust legal processes, mitigate risk, and safeguard the Group’s interests across multiple jurisdictions.

Key responsibilities

• Assist with the Group’s legal and corporate secretarial activities, including board support and resolution drafting.
• Provide legal advice on business contracts and agreements, ensuring compliance and managing commercial exposure.
• Handle corporate secretarial and regulatory compliance for all Group entities.
• Review and implement best‑practice corporate policies related to legal and secretarial matters.
• Support M&A transactions, including deal structuring, legal due diligence, and related compliance tasks.
• Liaise with external counsel and professional service providers as needed.
• Deliver legal training to sales and project teams.
• Identify and drive continuous improvement of legal processes.

Required profile

• Law degree with 4‑6 years of relevant experience.
• Admission to the Singapore Bar (or an overseas bar) is essential.
• Strong knowledge of Singapore law; familiarity with APAC, EMEA, or Americas jurisdictions is a plus.
• Demonstrated experience in corporate governance, complex corporate structures, and M&A transactions.
• Excellent legal analysis, drafting, and negotiation skills.
• Ability to manage large, complex workloads and interact effectively with senior business leaders.

Required skills

• Admission to the Singapore Bar (or equivalent overseas qualification).
• Proficiency in statutory and regulatory analysis.
• Experience with corporate secretarial compliance and board procedures.
• Solid understanding of M&A legal processes and due diligence.
