Secretariat Manager – Corporate Governance Lead

About the role
We are seeking a Secretariat Manager to join a respected organisation in Singapore. You will work closely with senior management and the Board, providing advice on legislative matters and overseeing a full range of company secretarial duties.
Key responsibilities
- Assist the Head of Department in developing and implementing corporate governance strategies and policies.
- Monitor legislative developments and advise the Board and senior management on compliance.
- Manage company incorporations, maintain statutory registers, and prepare directors' and shareholders' resolutions.
- Organise Board, Committee and Shareholder meetings, handle logistics and record accurate minutes.
- Prepare comprehensive meeting papers to support informed decision‑making.
- Ensure ongoing compliance with statutory, regulatory, constitutional and internal policy requirements.
- Support the preparation of annual reports, including corporate governance sections.
- Handle ACRA filings for Singapore entities and coordinate overseas statutory filings as needed.
- Draft SGX announcements and ensure timely posting on SGXNet.
- Liaise with internal teams, overseas offices, regulators and third‑party service providers on secretarial matters.
Required profile
- Membership with ICSA or CSIS is essential.
- Minimum 8 years of relevant experience in public listed companies or corporate secretarial firms.
- Strong understanding of the Singapore Companies Act, SGX listing rules and related regulatory frameworks.
- Proven ability to advise senior leadership on governance and compliance issues.
Required skills
- Knowledge of Singapore Companies Act.
- Experience with ACRA filing processes.
- Familiarity with SGX listing and announcement requirements.
