In-House Legal Counsel

About the role

The In‑House Legal Counsel will act as the primary legal adviser to the Group, reporting to the Chief Strategy & Investment Officer. This senior, high‑autonomy position requires a commercially‑minded lawyer who can partner with the business rather than serve only as a technical advisor.

Key responsibilities

• Provide corporate and commercial legal advice to the Board, executive management and business units.
• Draft, review and negotiate a full range of commercial agreements, including supply, off‑take, distribution, licensing and agency contracts.
• Advise on cross‑border regulatory, sanctions, trade compliance, data protection and sustainability requirements.
• Maintain legal templates, contract‑management processes and delegation‑of‑authority frameworks.
• Manage external counsel across jurisdictions, including scoping, fee negotiation and budget control.
• Draft and negotiate physical commodities trade documentation and related logistics contracts.
• Support trade finance arrangements such as letters of credit, guarantees and receivables financing.
• Assist in mergers and acquisitions, equity/debt fundraising, capital‑markets activities and IPO readiness.
• Oversee dispute resolution, arbitration and corporate governance matters.

Required profile

• Qualified lawyer with extensive experience in corporate, commercial and commodities‑trading law.
• Proven ability to operate as a trusted business partner and exercise independent judgment on complex, cross‑border matters.
• Strong track record of managing external counsel efficiently.
• Commercially pragmatic mindset with a focus on risk identification, quantification and mitigation.

Required skills

• Drafting and negotiation of commercial and trade contracts.
• Knowledge of sanctions, trade compliance and sustainability regulations.
• Understanding of trade finance instruments (letters of credit, guarantees, etc.).
• Experience with mergers & acquisitions, fundraising and capital‑markets processes.
