Administrative Manager – Corporate Governance & IPO

About the role
We are seeking an experienced Administrative Manager to lead our Singapore‑based corporate governance and IPO preparation efforts. You will act as the central liaison between the regional team, Japanese headquarters, and external advisors, ensuring a smooth listing process on SGX.
Key responsibilities
- Support end‑to‑end SGX listing preparation, including drafting prospectus and disclosure materials.
- Liaise with law firms, audit firms and other external advisors to secure timely deliverables.
- Establish and maintain corporate governance frameworks aligned with listing requirements.
- Implement internal controls and processes for IPO and post‑listing compliance.
- Prepare board and committee meeting materials, notices, agendas and presentations.
- Draft accurate minutes and coordinate shareholders’ meetings, handling documentation and logistics.
- Develop and update corporate policies, articles of association and internal regulations.
- Oversee company secretarial matters across entities and ensure ongoing regulatory compliance.
- Collaborate with Japan HQ and overseas teams to align governance, compliance and operational processes.
Required profile
- Minimum 5 years of experience in corporate administration or company secretarial functions.
- Professional certification such as ICSA/CGI, SAICSA or equivalent governance qualifications.
- Prior secretarial experience with SGX Mainboard or Catalist‑listed companies.
- Exposure to IPO processes (SGX, HKEX, TSE) and solid understanding of legal and regulatory frameworks.
- Experience in Japanese‑affiliated organisations is preferred.
- Strong communication skills in English and Japanese.
- Singapore citizen or permanent resident.
