In-House Legal Manager – M&A (Singapore)

About the role

We are seeking an experienced In‑House Legal Manager to join our shipping and logistics leader in Singapore. The role focuses on M&A and corporate transactions, providing legal guidance to ensure business initiatives are executed safely and compliantly.

Key responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including confidentiality, vendor, service and licensing contracts.
• Provide legal support and strategic advice on corporate matters such as investments, cross‑border transactions and M&A processes, including term sheets and shareholder agreements.
• Offer practical legal guidance to internal stakeholders, assessing legal risk and ensuring regulatory compliance.
• Advise on deal structuring, regulatory requirements and risk mitigation in collaboration with various departments and external counsel.
• Partner with the compliance team to develop policies, conduct training, manage investigations and address compliance‑related risks.
• Contribute to corporate governance by managing contract databases, maintaining corporate records and supporting regulatory filings.
• Liaise with external legal advisors and provide input on global compliance, regulatory and transactional matters.
• Participate in special assignments or risk‑related initiatives as required.

Required profile

• Degree in Law (LL.B or J.D.) from a recognized institution; legal qualification preferred.
• Minimum 2 years of legal experience, ideally in‑house or in corporate, commercial or transactional practice.
• Solid knowledge of contract law, corporate law and commercial legal principles.
• Proven ability to work independently while collaborating effectively across functions.
• Strong analytical, research and communication skills.
