Legal Counsel – Corporate (xScale)

About the role

Equinix is seeking an intelligent, energetic, and highly motivated Legal Counsel to support its xScale business. The role focuses on corporate and transactional matters, primarily M&A, joint ventures, financings, and restructuring, with a global scope and a particular emphasis on the Asia‑Pacific region.

Key responsibilities

• Develop expertise in xScale joint‑venture contractual structures and support the expansion of the business.
• Negotiate and advise on joint‑venture agreements, ancillary corporate documents, and investor exit transactions.
• Lead corporate restructuring projects, including statutory mergers, asset transfers, share recapitalizations, and capital calls.
• Coordinate legal due diligence across JV set‑up, monetisation, and financing workstreams.
• Draft and negotiate NDAs, consents, notices, and straightforward corporate or real‑estate documents.
• Provide guidance on REIT‑related corporate decisions and ad‑hoc regulatory issues.

Required profile

• Strong background in corporate law with experience in M&A, joint ventures, and corporate restructuring.
• Ability to work closely with Tax and Treasury teams to structure optimal arrangements.
• Excellent analytical skills and capacity to manage complex, cross‑border transactions.
• Proactive attitude and ability to advise functional teams on legal and regulatory matters.
