Senior Legal Counsel – M&A and Corporate Transactions

About the role

Cana Consulting is partnering with a fast‑growing regional infrastructure and technology platform to hire a Senior Legal Counsel. The role will support high‑value M&A, joint ventures, and expansion projects across Asia Pacific, working closely with senior business leaders.

Key responsibilities

• Provide legal support on a broad range of corporate and commercial matters.
• Lead and support mergers & acquisitions, joint ventures, strategic investments, restructurings, and regional expansion initiatives.
• Draft, review, and negotiate transaction documents such as share purchase agreements, shareholders’ agreements, and subscription agreements.
• Support financing and investment transactions, coordinating with external counsel, lenders, and internal stakeholders.
• Advise on legal risks, governance, and regulatory considerations for regional operations.
• Collaborate with finance, tax, and operational teams to execute strategic projects.
• Manage external counsel across multiple jurisdictions to ensure timely, commercially practical advice.
• Assist in developing internal legal processes, templates, and governance frameworks.

Required profile

• Qualified lawyer with 7‑10 years of post‑qualification experience.
• Background in a reputable law firm or in‑house legal team with strong corporate/M&A exposure.
• Experience handling cross‑border transactions and regional stakeholder management (advantageous).
• Familiarity with infrastructure, technology, real‑estate, data‑centre, energy, or private‑capital transactions is a plus.
• Commercially minded, proactive, and able to thrive in a fast‑paced environment.
