Assistant General Counsel – M&A Specialist

About the role

We are seeking an Assistant General Counsel to lead M&A transactions across the region for a leading communications technology group. You will own the end‑to‑end deal process, from structuring and negotiation to closing and post‑completion integration.

Key responsibilities

• Shape and execute the legal strategy for complex cross‑border M&A deals.
• Lead negotiations on term sheets, definitive agreements and ancillary contracts.
• Manage multi‑jurisdictional legal due diligence, coordinating internal teams and external counsel.
• Provide guidance on regulatory approvals, competition law, governance and investment controls.
• Advise deal teams and senior leadership throughout the transaction lifecycle.
• Coordinate with banks, advisers, counsel and counterparties to ensure timely execution.
• Support internal governance, preparing materials for senior management and board committees.
• Assist with post‑completion integration and ongoing contractual obligations.
• Contribute to the improvement of M&A legal frameworks, templates and processes.

Required profile

• Law degree from a recognised institution and professional qualification.
• Minimum 15 years post‑qualification experience, with both private practice and in‑house exposure.
• Strong expertise in cross‑border M&A and corporate transactions.
• Proven drafting, negotiation and stakeholder‑management abilities.
• Familiarity with regulatory, listing and jurisdiction‑specific requirements.
• Clear communication style and decisive guidance under pressure.
• Collaborative mindset and willingness to take on evolving responsibilities.
