Legal Counsel – Private Equity Real Estate

About the role

We are seeking an experienced in‑house Legal Counsel to join an Asia‑Pacific real‑estate private‑equity fund. Reporting to the COO, you will act as a strategic advisor on transaction execution, legal risk management, and ongoing asset management across multiple jurisdictions.

Key responsibilities

• Lead real‑estate acquisitions, disposals, joint‑venture formations and platform investments from term‑sheet to closing.
• Provide legal structuring advice and conduct thorough due‑diligence on target assets.
• Draft, review and negotiate purchase agreements, shareholders’ agreements, financing documents and management contracts.
• Support portfolio companies with financing, refinancing, leasing and restructuring matters.
• Manage external counsel across jurisdictions to ensure cost‑effective and timely delivery.
• Ensure compliance with local regulations, fund documentation and internal policies in collaboration with compliance teams.

Required profile

• 8‑10+ years of post‑qualification experience in commercial law, preferably in PE/M&A.
• Background in a law firm with in‑house experience at a private‑equity or real‑assets platform.
• Strong exposure to real assets, infrastructure or private‑equity transactions in APAC.

Required skills

• Deep knowledge of real‑estate finance.
• Expertise in joint‑venture structures.
• Understanding of corporate governance in investment vehicles.
