Corporate M&A Associate / Senior Associate

About the role

CNPLaw LLP is seeking motivated Associates and Senior Associates to join its expanding Corporate Advisory team. The role involves supporting corporate partners on a diverse portfolio of domestic and cross‑border transactions, providing commercial‑focused legal advice, and contributing to business development initiatives.

Key responsibilities

• Transactional work: support corporate partners from inception to completion of M&A and other corporate transactions.
• Advisory and drafting: prepare, review and negotiate a wide range of corporate and commercial documents, including share sale agreements, asset sale agreements, shareholders’ agreements, joint venture agreements, equity subscription agreements, commercial contracts and corporate secretarial documents.
• Due diligence: conduct thorough legal due diligence, identify key risks and provide recommendations.
• Legal research & analysis: perform in‑depth research on Singapore law and regulatory frameworks and deliver clear analysis.
• Business development: participate in client pitches, seminars and other firm development activities.

Required profile

• Duly admitted as an Advocate and Solicitor of the Supreme Court of Singapore; admission in other common‑law jurisdictions is a plus.
• 3–6 years post‑qualification experience with a reputable law firm.
• Experience advising on and executing M&A transactions (buy‑side and/or sell‑side).
• Strong exposure to drafting and negotiating commercial contracts.
• Experience in general corporate advisory, regulatory compliance and corporate governance.
• Knowledge of antitrust/competition law or merger control filings is advantageous.
• Proven contract drafting, negotiation and legal research capabilities.
• Ability to manage multiple matters autonomously under tight timelines.
• Strong work ethic and capacity to thrive in a fast‑paced, high‑pressure environment.
