Legal Counsel – Commercial & Corporate Law

About the role

AEM Holdings Ltd. is seeking a Legal Counsel to support the General Counsel in a listed‑company, international environment. The role focuses on commercial contracting and advisory work while providing exposure to governance, intellectual property and legal operations.

Key responsibilities

• Draft, review and negotiate commercial agreements such as NDAs, supply and service contracts.
• Provide clear, practical, risk‑based legal advice and manage the end‑to‑end contract lifecycle.
• Maintain governance records, board and shareholder documentation, and coordinate with corporate secretarial providers across jurisdictions.
• Support statutory compliance and listed‑company requirements, maintaining governance trackers and approval records.
• Administer the Group’s IP portfolio, coordinate filings and renewals with external counsel, and track key deadlines.
• Maintain legal trackers for contracts, entities, IP and approvals; improve legal processes, templates and playbooks.
• Assist internal investigations, identify legal and compliance risks, and contribute to compliance initiatives, policies and training.

Required profile

• Approximately 5 years post‑qualification experience, preferably with law‑firm training.
• Qualified to practice law in a relevant jurisdiction.
• Strong drafting skills, commercial judgment and ability to work independently in a lean environment.
• Highly organised with the capability to manage multiple workstreams.
