Legal Counsel – Investment & ECM (3-5 PQE)

About the role

We are seeking a qualified Legal Counsel to support a leading investment platform’s growing activities across Asia. The role offers exposure to sophisticated public equity and private market transactions, working closely with investment professionals and senior stakeholders.

Key responsibilities

• Provide legal support on public equity investments across Asia and other key markets, with Hong Kong pre‑IPO experience valued.
• Advise on cross‑over investments, late‑stage private financings and pre‑IPO transactions.
• Review, draft and negotiate transaction documentation such as confidentiality agreements, subscription agreements, shareholders' agreements and other investment‑related documents.
• Partner with investment teams throughout the transaction lifecycle, from deal evaluation to execution and post‑investment matters.
• Advise on securities laws, regulatory requirements and corporate governance issues relevant to investment activities.
• Manage external counsel across multiple jurisdictions where required.
• Support internal legal and compliance initiatives and contribute to the enhancement of legal policies and processes.

Required profile

• Qualified lawyer with approximately 3–5 years post‑qualification experience.
• Experience in a leading international law firm and/or an investment manager, asset manager, hedge fund, private equity, venture capital or financial institution.
• Essential exposure to public equity transactions; Hong Kong pre‑IPO experience highly regarded.
• Experience with cross‑over investments, late‑stage private financings and/or pre‑IPO transactions is a plus.
• Strong drafting, analytical and commercial judgement.
• Ability to manage multiple workstreams in a fast‑paced environment.
• Excellent communication and stakeholder management skills.
• Proficiency in English required; Chinese language capability advantageous but not essential.
