In-house Legal Counsel – Corporate & M&A

About the role

We are seeking an In-house Legal Counsel to support our corporate and M&A activities within a leading shipping and logistics organization based in Singapore. The role involves providing commercial and transactional legal advice to ensure business initiatives are executed with proper risk assessment and regulatory compliance.

Key responsibilities

• Draft, review, and negotiate a wide range of commercial agreements, including confidentiality, vendor, service and licensing contracts.
• Provide legal support and strategic advice on corporate matters such as investment activities, cross‑border transactions, and M&A processes, including term sheets and shareholder agreements.
• Advise internal stakeholders on deal structuring, regulatory requirements, and risk mitigation strategies.
• Partner with the compliance team to develop policies, conduct training, manage investigations and address compliance‑related risks.
• Contribute to corporate governance by maintaining contract databases, corporate records, and supporting regulatory filings.
• Liaise with external legal advisors and provide input on global compliance, regulatory, and transactional matters.
• Participate in special assignments or risk‑related initiatives as required.

Required profile

• Law degree (LL.B or J.D.) from a recognized institution; legal qualification preferred.
• Minimum 2 years of legal experience, ideally in‑house or in corporate, commercial, or transactional practice.
• Strong knowledge of contract law, corporate law and commercial legal principles.
• Proven ability to work independently while collaborating effectively in cross‑functional teams.
• Excellent analytical, research and communication skills.
