Legal Counsel – Investment & Transaction Law (Singapore)

About the role

We are seeking a Legal Counsel to join our Singapore legal team. You will work closely with investment professionals across Asia, providing commercial‑focused legal advice throughout the investment lifecycle for a leading life‑science investor.

Key responsibilities

• Lead and manage legal workstreams for investments, acquisitions, divestments and financing transactions.
• Draft, review and negotiate transaction documentation, including shareholder agreements and financing agreements.
• Advise investment teams on transaction structuring, regulatory and compliance requirements, and legal risk management.
• Coordinate and oversee legal due diligence, liaising with opposing counsel.
• Manage relationships with external counsel and advisors across multiple jurisdictions.
• Liaise with finance, operations, tax and compliance teams throughout the investment cycle.
• Support portfolio companies on corporate governance, regulatory matters and risk management.

Required profile

• Qualified lawyer with experience in corporate, M&A and private‑equity transactions.
• Strong understanding of cross‑border investment structures and regulatory environments in Asia.
• Proven ability to work independently and collaboratively within an international legal team.
• Excellent communication skills and ability to manage multiple stakeholders.

Required skills

• Drafting and negotiating shareholder, financing and other transaction agreements.
• Conducting legal due diligence and managing external counsel.
• Providing legal advice on regulatory compliance and risk mitigation.
