Legal Counsel

About the role

Our client, a well‑established hedge fund, is seeking an experienced Legal Counsel to lead fund structuring and cross‑border transaction work. The role sits at the intersection of legal, compliance, and investment teams, providing strategic advice and hands‑on support for fund formation.

Key responsibilities

• Lead fund formation and structuring initiatives, including Variable Capital Companies (VCCs) and related vehicles.
• Draft, review, and negotiate investor documents such as subscriptions, side letters, onboarding agreements, and disclosures.
• Support corporate and commercial contracts across vendors, technology, data, IP, and NDAs.
• Partner with Compliance to interpret regulatory requirements affecting fund operations and licensing.
• Manage external counsel relationships and oversee legal spend on specialist and cross‑border matters.
• Act as a key legal business partner to investment, operations, and management teams.

Required profile

• 4–7 years post‑qualification experience, qualified in Singapore, Hong Kong, or another common‑law jurisdiction.
• Strong hands‑on experience in fund formation, with VCC experience essential.
