Legal Counsel – Banking & Trade Finance

About the role

We are seeking a Legal Counsel to provide expert legal advice on banking and structured trade finance transactions. The role involves drafting, reviewing, and negotiating a wide range of documentation while supporting corporate governance and board activities.

Key responsibilities

• Provide legal advice on general banking and structured trade finance transactions, including loans, letters of credit, and receivables purchase agreements.
• Draft, review, and negotiate banking documentation such as parental guarantees, loan agreements, and NDAs.
• Advise on corporate and governance matters, including restructurings, subsidiary management, and board committee support.
• Collaborate with Treasury, Financial Services, Financial Markets, and Governance functions to identify and mitigate legal risks.
• Engage and manage external counsel, overseeing related expenses.
• Maintain and develop legal templates and processes to improve productivity.
• Assist the global Corporate Secretary with legal and regulatory filings for Bunge entities.

Required profile

• Strong experience in structuring, drafting, and negotiating banking and trade finance documentation.
• Familiarity with cross‑border finance transactions and relevant regulations.
• Excellent verbal and written communication skills in English.
• Ability to work effectively in a multicultural environment and interact with senior management.
• Resilient, organized, and able to manage changing priorities and deadlines.

Required skills

• Knowledge of loan documentation formats (e.g., LMA/APLMA).
• Understanding of letters of credit (UCP 600), standby letters of credit, and bank guarantees.
• Experience with ISDA and other derivative documentation (desired).
• Strong English language drafting ability.
