Legal Counsel – Banking & Trade Finance

About the role

The Legal Counsel will provide expert legal advice on banking and structured trade finance transactions, supporting the business in Singapore and across the Bunge group. The role involves drafting, reviewing, and negotiating a wide range of financial documentation while ensuring compliance with corporate governance standards.

Key responsibilities

• Advise on general banking and structured trade finance transactions, including loans, credit facilities, letters of credit, and receivables purchase agreements.
• Draft, review, and negotiate documentation such as parental guarantees, standby letters of credit, participation agreements, and ISDA contracts.
• Negotiate standard banking terms, NDAs, and day‑to‑day banking agreements.
• Provide corporate and governance advice on restructurings, subsidiary management, and board/committee support.
• Collaborate with senior leadership, treasury, financial services, and governance teams to identify and mitigate legal risks.
• Engage and manage external counsel, control related expenses, and maintain legal templates and processes.
• Assist the global Corporate Secretary with regulatory filings and entity administration.

Required profile

• Extensive experience drafting and negotiating banking and trade finance documentation.
• Strong knowledge of loan documentation formats (LMA/APLMA), UCP 600, standby letters of credit, and related financial instruments.
• Familiarity with ISDA and other derivative documentation (preferred).
• Proven ability to work in a multicultural environment and interact with senior management.
• Excellent organizational skills, resilience, and ability to meet changing deadlines.
• Fluent English with strong drafting abilities.
