Corporate Governance Manager (M&A Integration)

About the role

A well-established financial services organisation with a strong presence across Asia Pacific is looking for a Corporate Governance Manager to play a key role in a major transformation project. Reporting to the Company Secretary, the role supports Board and Committee governance activities while ensuring compliance with statutory and regulatory obligations. It involves advising Boards and senior leaders on governance and regulatory matters.

Key responsibilities

• Provide company secretarial and corporate governance support to Boards, Committees and senior management teams
• Monitor changes in regulatory requirements, governance frameworks and industry standards and assess their impact on business operations
• Coordinate Board and Committee meetings, including agenda preparation, meeting papers, resolutions, presentations and minutes
• Support governance workstreams related to mergers, acquisitions, restructuring and corporate transformation
• Liaise with regulators, external advisers and internal stakeholders on governance and compliance matters
• Conduct governance reviews and gap assessments, recommending improvements to policies, processes and control frameworks
• Maintain statutory records, corporate filings, governance documentation and approval authorities in line with regulatory requirements

Required profile

• Qualified lawyer or Chartered Secretary with relevant corporate governance experience
• Experience supporting Boards and Board Committees within a regulated environment
• Exposure to financial services, banking, insurance or other regulated industries
