Executive Director, Legal

About the role

MUFG Investor Services provides asset servicing solutions to the global investment management industry, including fund administration, custody, trustee services, securities lending and more. This Executive Director, Legal position reports to the Head of Legal within the MUFG legal team and provides legal advice supporting the legal and regulatory needs of the group's growing global business.

Key responsibilities

• Provide legal advisory, regulatory and documentation support for the core businesses: fund administration, registrar and transfer agent, investor AML services, banking, custody, trustee, regulatory reporting, registered office and corporate secretary.
• Review and draft legal documents, negotiate agreements, liaise with internal stakeholders so risks are understood, seek sign-off and deal with execution, and give a final legal opinion when appropriate.
• Document types include service agreements (administration, middle office and BPO, FATCA, regulatory reporting, declarations of trust, bank account mandates, NDAs), intragroup and outsourcing agreements, and vendor agreements.
• Respond to legal queries from operational departments, internal control and support groups, client integration and client services teams, senior management and entity boards.
• Advise on day-to-day legal and regulatory matters across all key jurisdictions.
• Manage or coordinate with external legal counsel where required, and support all business functions.
• Support and, if necessary, manage projects and new business initiatives.
• Coordinate the maintenance and creation of precedents in response to legal, regulatory, operational and market developments.
• Advise on and/or represent legal on internal committees.

Required profile

• Qualified lawyer with 7-10 years' post-qualification experience and a valid practicing certificate in England and Wales or New York.
• In-house legal experience, ideally with a bank, fund manager or fund service provider.
