Legal Counsel – Investment Platform

About the role

NonPublic is seeking a sharp, commercially‑minded Legal Counsel to become the primary in‑house legal resource for its fast‑growing investment platform. Reporting to the COO, you will support investment operations, fund structuring, and regulatory compliance across a range of frontier sectors.

Key responsibilities

• Draft, review, and negotiate fund documents such as Trust Deeds, Manager Agreements, Subscription Agreements, and SPV documentation.
• Provide advice on Australian Financial Services Licence (AFSL) obligations and ASIC regulatory requirements.
• Support KYC/KYB and AML/CTF compliance frameworks.
• Liaise with external counsel, regulators, and counterparties’ legal teams.
• Offer legal guidance on deal structuring, investor agreements, and secondary transactions.
• Maintain and improve standard document templates and legal processes.

Required profile

• Qualified lawyer with 4–8 years of experience in law firms or in‑house roles.
• Experience in funds management, financial services, or capital markets law.
• Practical knowledge of SPV or managed fund structuring is a strong advantage.
• Ability to work quickly while balancing legal rigour with commercial pragmatism.
• Self‑starter capable of operating independently in a lean, remote team.
