In-House Legal Counsel – Corporate & Trade Law

About the role

The Group’s primary legal adviser will own the full spectrum of legal matters, from corporate and commercial advisory to commodities trading documentation, M&A, fundraising, capital markets, dispute resolution and governance. This is a high‑autonomy position for a commercially‑minded lawyer who will act as a trusted business partner across the biofuel and renewable energy business.

Key responsibilities

• Serve as the principal legal contact for the Board and business units, drafting and negotiating commercial agreements such as supply, offtake, distribution and licensing contracts.
• Draft, negotiate and review physical commodities trade contracts, confirmations, Incoterms, demurrage, force majeure clauses and related shipping documents.
• Lead legal workstreams for mergers, acquisitions and joint‑venture transactions, including SPA drafting, due‑diligence coordination and APAC restructuring support.
• Support equity and debt fundraising, structured financing, bank facilities and security documentation; assist with IPO preparation, prospectus verification and regulator liaison.
• Manage all disputes, arbitrations and litigation matters, advising on settlement strategy and maintaining a claims register.
• Ensure compliance with corporate policies, anti‑bribery, conflicts of interest and other governance frameworks; provide legal training to business teams.

Required profile

• LL.B or equivalent with admission to the Singapore Bar.
• Minimum 3 years post‑qualification experience in a law firm and/or in‑house legal department.
• Demonstrated track record in M&A drafting and negotiation.
• Experience in at least two of the following: equity/debt fundraising, IPO/capital markets, commercial arbitration.
• Familiarity with banking and finance documentation and high‑volume commercial contract turnaround.
• Ability to work independently under pressure and meet transaction timetables.
