Senior In-house Legal Counsel

About the role

We are seeking a commercially‑mindset Senior In‑house Legal Counsel to join a fast‑growing international business in Singapore. The role offers high autonomy and direct interaction with senior management, covering strategic and day‑to‑day legal matters across commodities, energy, biofuels, recycling and sustainability‑related activities.

Key responsibilities

• Provide practical, commercially focused legal advice to senior management and business teams.
• Draft, review and negotiate a wide range of commercial agreements, including supply, offtake, distribution, logistics, services and confidentiality contracts.
• Support M&A, investments and corporate transactions – due diligence, transaction documentation, joint ventures and restructuring.
• Advise on banking and financing matters such as facility agreements, security documentation, trade finance and fundraising.
• Assist with capital‑markets and IPO‑related matters when required.
• Review and advise on commodities trading and operational contracts, including purchase‑sale agreements, trade documentation, shipping and logistics.
• Handle trade‑related issues – Incoterms, title and risk, force majeure, payment disputes and counter‑party claims.
• Manage disputes, arbitration and litigation, coordinating with external counsel.
• Oversee corporate governance, regulatory compliance, sanctions and other legal risk areas.
• Manage external counsel across jurisdictions to ensure efficient, commercial handling of legal matters.

Required profile

• Qualified lawyer with at least 3 years post‑qualification experience (PQE).
• Strong background in corporate/M&A and commercial transactions.
• Exposure to two or more of the following: fundraising, banking & finance, capital markets/IPO, commodities trading or commercial arbitration.
• Demonstrated ability to review and negotiate complex commercial agreements independently.
• Excellent commercial judgment, balancing legal risk with business objectives.
• Ability to work independently in a fast‑paced, cross‑border environment.
• Experience in commodities, energy, agri‑commodities, biofuels, sustainability or physical trading is advantageous.
• Singapore qualification/admission or equivalent legal credentials.
