Legal Counsel – Private Equity (Singapore)

About the role

Join a leading private equity firm in Singapore as a Legal Counsel and work on a full range of investment activities. You will support acquisitions, disposals, joint ventures, fund formation and cross‑border deal execution while collaborating closely with investment teams.

Key responsibilities

• Provide legal advice on private equity transactions, including acquisitions, disposals, joint ventures and minority investments across multiple jurisdictions.
• Draft, review and negotiate transactional documents such as share purchase agreements, shareholders’ agreements, investment agreements, NDAs and term sheets.
• Support fund formation by reviewing fund documentation, preparing regulatory filings and managing investor documentation requirements.
• Coordinate with external counsel worldwide to ensure seamless execution of cross‑border deals and compliance with local regulations.
• Assist portfolio companies with corporate governance, compliance frameworks and ongoing legal matters.
• Handle regulatory and licensing issues for the firm’s operations in Singapore and internationally.
• Develop internal legal templates, risk‑management frameworks and improve legal workflow efficiency.

Required profile

• Singapore‑qualified lawyer with 2–5 years post‑qualification experience, preferably from a reputable law firm or in‑house team.
• Proven experience advising on mergers & acquisitions, private equity transactions or other significant corporate deals involving multiple jurisdictions.
• Demonstrated ability to manage cross‑border transactions and familiarity with fund formation or regulatory work is highly advantageous.
• Strong commercial judgement, independent work style and collaborative mindset.
