Lead Company Secretary – Vice President

About the role

Wells Fargo is looking for a Lead Company Secretary to provide legal support across the APAC region. The role sits within the International Company Secretarial team and works closely with the Corporate Governance Team to manage entity lifecycles, governance, and strategic transactions.

Key responsibilities

• Coordinate subsidiary board meetings, draft and review bylaws, articles, operating agreements, partnership agreements, capitalization tables, stock registers, minutes, resolutions and secretarial certifications.
• Organise agendas and papers for board meetings, committees and annual general meetings; take minutes and lodge required forms and annual returns with regional registrars.
• Manage formation, acquisition, registration, ongoing maintenance and disposition of legal entities (corporations, LLCs, partnerships, trusts, etc.).
• Provide transactional support for mergers, acquisitions, investments, dividends, asset sales and other corporate actions.
• Review legal and transaction documents, maintain statutory registers, and ensure data integrity in Wells Fargo’s legal entity systems.
• Collaborate with cross‑jurisdictional teams, resolve complex regulatory issues, and ensure consistent, concise board materials.

Required profile

• Minimum 5 years of company secretarial experience or equivalent demonstrated through work, training, military service or education.
• 3 + years of corporate governance or company secretarial experience, or comparable experience at a mid‑large law firm or in the legal department of a large public company/financial services firm.
