Legal Counsel – Fund Formation & Investment Management

About the role

We are seeking a qualified Legal Counsel to lead fund formation and provide comprehensive legal support to our investment and operations teams. The role focuses on structuring Variable Capital Companies (VCCs) and related investment vehicles, while ensuring commercial contracts and regulatory matters are handled efficiently.

Key responsibilities

• Lead drafting, review and negotiation of fund establishment documents, especially Singapore VCCs.
• Prepare and negotiate subscription agreements, side letters, investor onboarding and disclosure materials.
• Draft, review and negotiate vendor, technology, data, NDA and IP agreements.
• Support entity incorporation, overseas office set‑up and ongoing corporate governance.
• Maintain template employment agreements and advise on cross‑jurisdictional employment issues.
• Collaborate with Compliance on regulatory interpretation affecting fund operations.
• Manage external counsel engagements and monitor legal spend.
• Provide pragmatic, business‑focused legal advice to investment, operations and management teams.

Required profile

• Qualified lawyer admitted in Singapore, Hong Kong or a comparable common‑law jurisdiction.
• 4–7 years post‑qualification experience in funds or investment‑management law.
• Hands‑on experience with Singapore VCC formation; familiarity with Cayman funds or Hong Kong OFCs is a plus.
• Solid corporate and commercial contracting background, preferably in‑house or at a reputable law firm.
• Strong drafting and negotiation abilities, able to manage multiple workstreams independently.
• Commercially minded, solutions‑oriented and capable of operating with limited supervision.
• Cross‑border exposure (e.g., China, India, Middle East) is advantageous.
