Legal Counsel – Funds (8‑10 PQE) for Infrastructure Private Equity

About the role

This position is a senior, business‑facing legal role within an established infrastructure‑focused private equity platform. The Legal Counsel will primarily support fund formation, fundraising, and ongoing fund administration while also providing general corporate and strategic legal advice across the group.

Key responsibilities

• Advise on fund formation, structuring and fundraising for the firm’s investment strategies.
• Draft, review and negotiate fund documentation such as LPAs, subscription agreements, side letters and related investor paperwork.
• Support investor negotiations and collaborate with fundraising and investor‑relations teams throughout the fundraising lifecycle.
• Provide guidance on ongoing fund governance, operations and investor‑related matters.
• Coordinate with external counsel, fund administrators and professional advisers across relevant jurisdictions.
• Deliver legal support on general corporate and commercial matters across the group.
• Assist with strategic projects, corporate transactions and other initiatives as required.
• Work closely with investment, finance, compliance and senior management to offer commercially focused legal advice.

Required profile

• Qualified lawyer with approximately 8–10 years post‑qualification experience (PQE).
• Strong background in investment funds, especially fund formation and fundraising.
• Experience with private equity, infrastructure, real assets or other private‑capital funds is highly relevant.
• Familiarity with fund documentation, investor negotiations and ongoing fund matters.
• Prior in‑house experience within a private‑equity or investment‑management platform is preferred, though top‑tier law‑firm experience is also welcomed.
• Commercially minded with excellent drafting, negotiation and stakeholder‑management abilities.
