Loans Legal Counsel

About the role

Nomura is seeking a Vice President‑level Loans Legal Counsel to join its Asia ex‑Japan Legal team in Singapore. The role supports the Securitized Products & Private Credit, Acquisition & Leveraged Finance and Equity Solutions teams across the Global Markets and Investment Banking divisions, focusing on loan transactions.

Key responsibilities

• Provide legal, regulatory and reputational risk advice for loan‑related transactions.
• Analyse issues and propose risk‑mitigating structures or documentation.
• Draft, review and negotiate a range of loan documentation, including bilateral and syndicated agreements.
• Collaborate with internal product, compliance, risk and business teams to ensure proper escalation of risks.
• Participate in internal committees and discussions on new products, structures and specific transactions.
• Supervise external counsel and manage quality and cost of their services.

Required profile

• Minimum 4 years post‑qualification experience.
• Transactional experience in lending – private credit, acquisition financing, margin financing, pre‑IPO, warehouse, receivables, real‑estate or other structured lending.
• Hands‑on experience with bilateral and syndicated lending documentation (APLMA/LMA formats).
• Strong contract review and drafting abilities.
• Clear communication skills and the ability to work both independently and collaboratively.
• Enthusiastic, flexible and eager to learn.
