Senior Legal Counsel – Capital Markets

About the role

Bitdeer is seeking an experienced Senior Legal Counsel to lead its capital markets function. The role supports a Nasdaq‑listed issuer, advising on securities compliance, financing transactions, and strategic corporate initiatives across a global mining and AI cloud business.

Key responsibilities

• Ensure ongoing compliance with Nasdaq listing rules, SEC reporting, insider‑trading policies, and Regulation FD.
• Advise on equity and debt capital‑markets transactions, including public offerings, convertible securities, at‑the‑market programs, and private placements.
• Structure and negotiate project and infrastructure financing for data‑center developments, including facility agreements and inter‑creditor arrangements.
• Lead M&A, joint ventures, strategic investments, and corporate reorganisations, managing due diligence, documentation, and post‑closing integration.
• Provide legal guidance to finance, treasury, accounting, investor‑relations, and business teams on securities law and cross‑border transaction structuring, while coordinating external counsel.

Required profile

• Law degree (LL.B., J.D., or equivalent) from an accredited law school.
• 8+ years of post‑qualification experience, preferably in a top law firm or investment bank and an in‑house capital‑markets or corporate legal department.
• Admission to the Singapore Bar or a comparable common‑law jurisdiction (e.g., New York, England).
• Demonstrated hands‑on experience with equity and debt offerings, convertible instruments, project financing, and M&A.
• Strong knowledge of US securities laws and SEC reporting requirements; experience with Nasdaq‑listed issuers is a plus.
